Google has given Marvell one of the clearest votes of confidence yet in its custom AI-chip business. A newly disclosed warrant gives Google the right to buy nearly 59 million MRVL shares, with most of those shares vesting only as Google purchases Marvell-designed chips. Reaching full vesting would require $120 billion in cumulative custom-product revenue through fiscal 2033.
The deal between Google and Marvell is not a guaranteed $120 billion order. But it creates a powerful incentive for Google to send substantially more AI-silicon business Marvell's way. For investors, the deal strengthens Marvell's long-term growth story while also raising an important question after the stock's 260% run: how much of that opportunity is already priced in?

Google did not simply buy Marvell stock. It received the right to buy Marvell shares at $206.58, but most of that warrant becomes available only if Google purchases custom chips from Marvell. In other words, Google's potential equity upside grows alongside the amount of business it sends to Marvell.

According to Marvell's 8-K, Google can purchase up to 58,970,907 shares. The first 1,360,867 shares vest in quarterly installments during the first year. The remaining 57.6 million vest in 240 equal tranches, with one tranche earned for every $500 million in custom-product revenue from Google and its affiliates through Marvell's fiscal 2033.
If every tranche vested, the associated revenue would total $120 billion—roughly 15 times Marvell's fiscal 2026 revenue. Again, Google has not committed to spend that amount. The scale of the incentive nevertheless shows how large both companies believe the partnership could become. It covers AI inference accelerators and several chips that support Google's TPU systems, including storage, networking, memory-interface, and near-memory-compute products.
MRVL jumped 9.85% to $237.27 after the disclosure. At that price, the full warrant would have had roughly $1.8 billion of theoretical intrinsic value if every share had already vested and were exercisable. That is not Google's current profit—the vast majority of the shares must first be earned through purchases—but it explains why the structure matters.
The announcement also pressured Broadcom, which remains a major Google custom-silicon partner and fell 4.61%. Investors should be careful not to read that move as proof that Marvell is replacing Broadcom. Marvell's filing describes an expanded partnership, while Broadcom's existing Google relationship remains in place. The more defensible takeaway is that Google is broadening its supplier base as its AI infrastructure needs grow.
The commercial agreement was signed on July 29, three weeks before the warrant became public. Around the same time, Marvell's hiring demand accelerated sharply. Its job postings averaged 254 open roles in the week of July 20 and reached 486 by the week of August 10—the highest reading in our data and an increase of 62.3% month over month.

The timing is notable, although job postings alone cannot prove that the Google agreement caused the increase. They can, however, reveal when a company is preparing to support new programs before the resulting revenue appears in an earnings report. Marvell's employee business outlook adds a second positive signal: 91% of employees report a favorable outlook, up from 84% a year ago and the highest reading we have recorded for the company.

The important point is that the score was not merely chasing the share price. It rose above 75 during parts of January and February while MRVL remained near the low $80s. The stock did not begin its major breakout until late March. That gap illustrates the intended use of alternative data: not as a guarantee of future returns, but as a way to identify improving business signals before they are fully reflected in price.
Marvell entered this deal with strong momentum. Revenue reached a record $2.418 billion in the quarter ended May 2, 2026, up 28% year over year, and management guided the following quarter to approximately $2.7 billion. Retail attention has climbed with the business: Reddit mentions are up 1,100% year over year, while estimated web traffic is running about 29% above last summer.
Congressional trading has also leaned bullish. Four members of Congress reported MRVL purchases in 2026 with no recorded sales in our data, including a purchase by Ro Khanna on July 7. That activity is worth monitoring, but investors should not treat it as evidence that lawmakers knew about the Google agreement; congressional disclosures can cover broad value ranges and may be reported weeks after a trade occurs.
The risks are equally important. At about 82 times trailing earnings after Wednesday's jump, Marvell is priced for exceptional growth. The Google agreement strengthens the bull case, but it does not guarantee $120 billion of revenue, disclose Marvell's profit margins on the work, or show how quickly purchases will ramp. If the entire warrant eventually vested, the new shares would equal roughly 6%–7% of Marvell's current share count, creating meaningful dilution.
Marvell reports fiscal Q2 results on August 27. Investors should focus less on the quarter just completed and more on management's forward commentary: when Google-related revenue could begin, how quickly custom AI silicon can scale, whether the deal changes the fiscal 2027 or 2028 outlook, and what margins Marvell expects from the additional business.
The bottom line: Google's warrant does not hand Marvell a guaranteed $120 billion payday. It does something more nuanced: it gives one of the world's largest AI spenders a direct financial incentive to deepen its relationship with Marvell. That is a significant validation of Marvell's custom-silicon strategy—but after a 260% rally, execution and valuation matter just as much as the headline.
